Official Rules

The "SBG002" Sweepstakes (the "Sweepstakes") is open to legal residents of all Canadian provinces and territories and shall only be construed and evaluated according to applicable Canadian federal law and the laws of the applicable province or territory of residence. Do not enter this Sweepstakes if you are not a resident of Canada or are otherwise ineligible to enter in accordance with these Official Rules at the time of entry.

Sponsor

The Sweepstakes is sponsored and operated by SHFTD Inc, located at 1190B de Courchevel Street, Suite 400, Levis, QC, Canada, G6W 0M6 (the "Sponsor"). The Sponsor is solely responsible for administering all aspects of the Sweepstakes, including entry collection, the random drawing, winner notification, and prize fulfilment. There is no third-party administrator.

Eligibility

The Sweepstakes is open to legal residents of Canada (all provinces and territories, including Quebec) who, at the time of entry, (i) have reached the age of majority in their province or territory of residence (eighteen (18) or nineteen (19) years of age, depending on province/territory) and (ii) hold a valid Canadian driver's licence permitting operation of the Prize vehicle (the "Entrants").

Employees, officers, directors, contractors, and immediate family members (spouse, parents, siblings, children, grandparents, grandchildren, and each of their respective spouses, regardless of residence) or household members (whether related or not) of the Sponsor, its parent companies, subsidiaries, affiliates, agencies, and suppliers involved in the development or execution of this Sweepstakes (collectively, the "Released Parties") are NOT eligible to participate.

Non-eligibility or non-compliance with any of these Official Rules will result in disqualification. Void wherever prohibited or restricted by law.

Agreement to Official Rules

By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes. Winning the Grand Prize (as defined below) is contingent on fulfilling all requirements set forth herein.

Grand Prize

There will be one (1) Grand Prize awarded.

The Grand Prize Winner (the "Winner"), upon the Sponsor's confirmation of eligibility, will receive: one (1) 2023 BMW S 1000 RR motorcycle in Racing Red, equipped with the Dynamic Package and custom aftermarket modifications, accessories, and performance components selected by the Sponsor, together with a $5,000 CAD cash contribution intended to help offset applicable taxes, registration, licensing, insurance, inspection, or other ownership-related costs (the "Prize" or "Grand Prize"). Approximate retail value ("ARV"): $40,000 CAD, before applicable taxes where applicable.

The stated ARV represents the Sponsor's good-faith estimate of the Prize value for sweepstakes disclosure purposes. This estimate is based on the approximate current Canadian used-market value of the vehicle, plus the approximate retail or replacement cost of the modifications, accessories, parts, currency conversion, and related components required to recreate a similar build, and the $5,000 CAD cash contribution included with the Prize.

The stated ARV does not necessarily represent the resale value, appraised value, trade-in value, or actual market value of the Prize at the time it is awarded. Aftermarket modifications, accessories, parts, labour, shipping costs, and currency conversion may not increase the market resale value of a vehicle on a dollar-for-dollar basis.

The value of the Prize set forth above is final and binding. If the actual value of the Prize is lower than the stated ARV when the Prize is fulfilled, the difference will not be awarded in cash, credit, merchandise, or any other form, except for the fixed $5,000 CAD cash contribution expressly included as part of the Prize.

The $5,000 CAD cash contribution is intended to help offset certain ownership-related costs; however, the Sponsor does not represent or guarantee that this amount will cover all applicable taxes, registration, licensing, insurance, inspection, transfer, transportation, or other costs associated with accepting or using the Prize.

Any costs associated with applicable taxes, registration, licensing, insurance, inspection, maintenance, transportation after delivery, and ongoing operation of the vehicle are the sole responsibility of the Winner. All other expenses associated with Prize acceptance or usage not expressly mentioned herein are the sole responsibility of the Winner. The Prize vehicle will be awarded "AS IS" without warranty of any kind from the Sponsor.

The Winner acknowledges that the Sponsor has neither made nor is in any manner responsible for any warranty, representation, or guarantee, express or implied, in fact or at law, relative to the Prize — including but not limited to its quality, mechanical condition, modifications, roadworthiness, legality for road use in the Winner's jurisdiction, or fitness for a particular purpose.

The Winner must agree to pick up the Prize vehicle at a Sponsor-specified location within Canada within thirty (30) days of notification of availability; failure to take delivery within thirty (30) days could cause the Prize to be forfeited and awarded to an alternate Winner. The Winner must possess valid government-issued identification and a valid Canadian driver's licence permitting operation of the Prize vehicle in the Winner's province or territory of residence, and must provide evidence of legally required insurance prior to taking delivery.

NOTE: Substitution, assignment, or transfer of the Prize is not permitted, except by the Sponsor, who reserves the right to substitute the Prize or any Prize component with another of equal or greater value.

Prize Components and Estimated Value

For disclosure purposes, the approximate retail value of the Grand Prize is calculated using the following components, all stated in Canadian dollars and before applicable taxes where applicable:

For simplicity and disclosure purposes, the Grand Prize ARV is rounded to $40,000 CAD, before applicable taxes where applicable.

How to Enter

The Sweepstakes begins at 12:00:00 p.m. ET on July 2, 2026 and ends at 11:59:00 p.m. ET on October 16, 2026 (the "Sweepstakes Period"). The Sponsor's database is the official time-keeping device for the Sweepstakes. There are two (2) methods of entry:

1. Via Online Purchase

During the Sweepstakes Period, Entrants who make a purchase through the Sponsor's online shop at shftdco.com will automatically receive one (1) entry into the Sweepstakes for every whole Canadian dollar spent.

• The Sponsor may award Bonus Entry Codes during the Sweepstakes Period for making a purchase. Limit of three (3) Bonus Entry Codes per Entrant. NOTE: Bonus Entry Codes will not receive any active Bonus Period multiplier.
• Throughout the Sweepstakes Period, the Sponsor may announce limited-time Bonus Entry Periods on the website, in email, or on its social media channels (each, a "Bonus Entry Period"). During a Bonus Entry Period, Entrants who make a qualifying purchase will automatically receive between ten (10) and two hundred and fifty (250) times their base entries.

The number of entries received is based on the pre-tax amount of your eligible purchase, excluding shipping/handling charges and less any discounts. Purchases made outside of the Sweepstakes Period are not eligible.

Fraud notice: Any fraudulent activity in connection with this Sweepstakes is strictly prohibited. It is fraudulent to purchase items to obtain entries with the intent to return them after the Sweepstakes ends. If the Sponsor identifies or suspects that you are engaged in this or any other fraudulent activity, you will be disqualified and banned from any future Sweepstakes offered by the Sponsor.

2. Via Mail (No Purchase Necessary)

During the Sweepstakes Period, Entrants can obtain Sweepstakes entries by legibly hand-printing, on a 3"×5" card or piece of paper, their full name, complete mailing address, phone number, date of birth, and email address, and mailing the card in a #10 business-sized envelope with sufficient postage affixed to:

All mail-in entries must be postmarked by the end of the Sweepstakes Period and received within five (5) days thereafter. Each valid mail-in entry is worth ten (10) Sweepstakes entries.

Mail-in entries qualify for any store-wide multiplier that is active at the time of mailing. If a multiplier (e.g. "10x", "100x", "250x") is active when the Entrant mails their entry, the Entrant must write that multiplier on the back of the envelope. If the postmark date falls within the dates the multiplier was active, the Entrant's ten (10) base entries will be multiplied accordingly. If the postmark date does not match the active multiplier dates, the entry will still be accepted as a standard ten-entry mail-in, but will not receive the multiplier.

NOTE: The mail-in entry card and envelope must be hand-printed by the Entrant only. Entrants are not permitted to use any third party to assist with the entry process. Each envelope must be mailed individually; bulk shipments will not be accepted. Mail-in entries are limited to a reasonable number per Entrant as determined by the Sponsor.

To be valid, each entry must provide all requested information. The use of automated entry devices, scripts, or bots is prohibited; all such entries are void. The Released Parties are not responsible for late, incomplete, delayed, undelivered, or misdirected entries. All entries become the exclusive property of the Sponsor. By participating, you consent to the Sponsor's use of your personal information for the administration of this Sweepstakes, consistent with the Sponsor's Privacy Policy and applicable Canadian privacy legislation (PIPEDA and equivalent provincial statutes).

Refunds and Exchanges

The moment an order is confirmed, the corresponding Sweepstakes entries are automatically and irrevocably added to the entry pool. Because every entry directly affects the odds for every other Entrant, this allocation cannot be reversed, edited, or removed by the Sponsor once it has occurred. This is a deliberate safeguard: the integrity and fairness of the draw depend on the pool being fixed and tamper-proof, and not even the Sponsor is able to alter it after the fact.

For this reason, all purchases that generate Sweepstakes entries are final and non-refundable. The Sponsor does not offer refunds, cancellations, or chargebacks on qualifying orders. Entries already added to the pool remain valid and in play regardless of any post-purchase request.

Exchanges only. If there is an issue with the product you received — for example, a sizing problem, a defect, or an item damaged in transit — we are happy to arrange an exchange for a like item of equal value, subject to availability and our standard Shipping & Returns terms. An exchange replaces the product only; it does not remove, refund, or alter any Sweepstakes entries associated with the original order, and entry totals remain unchanged.

Why we work this way: Allowing refunds would mean entries could be withdrawn from the pool after the odds have already shifted, which would undermine the trust every Entrant places in a provably-fair draw. Locking entries at order confirmation — with no ability for anyone, including us, to edit them — is how we keep the process honest for everyone.

This section is specific to Sweepstakes-qualifying purchases. It does not limit any non-waivable rights you may have under applicable Canadian consumer-protection law.

General Conditions

If for any reason the operation or integrity of this Sweepstakes is impaired or incapable of running as planned — including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor — the Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify, or suspend the Sweepstakes in whole or in part, at any time, without notice, and to award the Prize using all non-suspect eligible entries received as of the date of such cancellation, modification, or suspension, or in any other manner that is fair and equitable and best conforms to the spirit of these Official Rules.

Caution: Any attempt to deliberately damage any website or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws. The Sponsor reserves the right to seek damages or other remedies from any such person to the fullest extent permitted by law.

Release and Limitations of Liability

By participating in the Sweepstakes, Entrants agree to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any Prize, including, but not limited to: (i) any technical errors that may prevent an Entrant from submitting an entry; (ii) unauthorized human intervention in the Sweepstakes; (iii) printing errors; (iv) errors in the administration of the Sweepstakes or the processing of entries; or (v) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Sweepstakes or receipt of the Prize. The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, entries.

Except as expressly provided above, in no event will the Released Parties be responsible or liable for any damages or losses of any kind (including without limitation direct, indirect, incidental, consequential, or punitive damages) arising out of participation in this Sweepstakes or the acceptance, possession, use, or misuse of a Prize.

By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death, losses, or damages to persons or property, as well as claims or actions based on publicity rights, defamation, and/or invasion of privacy that may arise from participating in this Sweepstakes or the acceptance, possession, use, or misuse of the Prize.

Drawing and Notification

The potential Prize Winner will be selected in a random drawing conducted by the Sponsor, on or about October 16, 2026. The drawing will be conducted live on a public livestream hosted by the Sponsor, using a verifiable, provably-fair random selection method (e.g. a publicly-auditable random number generator or equivalent transparent mechanism). The drawing methodology will be explained on-stream before entries are drawn, so that all viewers can independently verify the fairness and integrity of the selection.

Odds of winning the Prize depend on the total number of eligible entries received throughout the Sweepstakes Period. The potential Winner will be contacted by the Sponsor via phone, email, and/or Canada Post using the contact information provided at entry.

As required under Canadian law, the potential Winner must correctly answer, without mechanical or other assistance, a time-limited mathematical skill-testing question administered by the Sponsor. Failure to correctly answer the skill-testing question will result in disqualification, and an alternate Entrant will be randomly selected in accordance with the procedure described above.

Additional Prize Conditions

The Winner understands and agrees that the Prize is a modified vehicle. The Winner is solely responsible for determining whether the Prize, including any aftermarket parts, tuning, exhaust components, lighting, mirrors, or other modifications, complies with all applicable laws, regulations, inspection requirements, insurance requirements, and road-use requirements in the Winner's province or territory of residence. The Sponsor makes no representation or warranty that the Prize, as modified, will be legal for road use in every province or territory.

By accepting the Prize, the Winner agrees to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize. The potential Winner must sign and return to the Sponsor, within three (3) days of the date notice or attempted notice is sent, a Declaration of Compliance and Release in order to claim the Prize.

The Winner is responsible for all applicable federal, provincial, and municipal taxes associated with the receipt and use of the Prize, as well as all matters relating to the Prize after it is awarded. If a Prize notification is returned as unclaimed or undeliverable; if a potential Winner cannot be reached or does not comply with notification instructions within two (2) business days of the first notification attempt; if a potential Winner fails to return the required documents within the specified time period; or if a potential Winner is not in compliance with these Official Rules — such person shall be disqualified and, at the Sponsor's sole discretion, an alternate Winner may be selected.

By accepting the Prize, where permitted by law, the Winner grants to the Released Parties and those acting under the authority of the Sponsor the right to print, publish, broadcast, and use worldwide in all media, without limitation and at any time, their first name, last initial, city/province of residence, portrait, picture, voice, likeness, and/or biographical information for advertising, trade, and promotional purposes without further payment or additional consideration, and without review, approval, or notification. The Winner acknowledges that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or at law, relative to the Prize.

Disputes

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of Entrants and the Sponsor in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the Province in which the Sponsor's principal place of business is located, and the federal laws of Canada applicable therein, without giving effect to any choice-of-law or conflict-of-laws rules.

By participating in the Sweepstakes, Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes shall be resolved individually, without resort to any form of class action; (ii) any judicial proceeding shall take place in a court of competent jurisdiction in such Province; (iii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event will attorneys' fees be awarded or recoverable; and (iv) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to seek, punitive, incidental, exemplary, consequential, or special damages, lost profits, or any rights to have damages multiplied or otherwise increased.

Severability

The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, the other provisions will remain in effect and will be construed as if the invalid or unenforceable provision were not contained herein.

Miscellaneous

These Official Rules contain the full and complete understanding with respect to the Sweepstakes and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written. The headings herein are for convenience only and do not constitute a part of these Official Rules. No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by the Sponsor. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. The Winner's first name, last initial, and city/province of residence will be announced on the Sponsor's official livestream and/or social media channels following confirmation of eligibility.
